GOVERNANCE
We align our corporate governance efforts with the “Recommendations on Corporate Governance” issued by the Danish Committee on Corporate Governance”. This is achieved by maintaining an ongoing dialogue with our owners and other stakeholders, by reporting results on a quarterly basis and facilitating an ongoing strategic development process that creates value for our stakeholders.
Furthermore, as our majority owner, CataCap is a member of the Danish Venture Capital and Private Equity Association (DVCA), TP Aerospace must comply with the guidelines issued by the DVCA available at the DVCA’s website www.dvca.dk.
The guidelines released in June 2018, with subsequent modifications, recommend extended coverage of a number of factors in annual reports, including corporate governance, financial risk, employee relations and strategy.
OWNERSHIP
In 2017, the founders of TP Aerospace Thomas Ibsø and Peter Lyager sold the majority of the company to the Danish private equity firm CataCap, thus engaging in a financial and operational partnership with a strategically strong business partner.
Today, TP Aerospace Holding A/S is wholly-owned by “TPA Holding I A/S” and “TPA Holding II A/S”, which is controlled by CataCap, who together with co-investors Adveq and Kirk Kapital holds majority ownership of approximately 80%. Additionally, a smaller share is owned by key employees and management of TP Aerospace, while the remaining shares remain with the founders, Peter Lyager and Thomas Ibsø, who continue to play central roles within TP Aerospace.

Nikolaj has been part of TP Aerospace since the spring of 2018, first as CFO before transitioning to COO in 2020 and later CEO in 2022. He holds a MSc in Business Administrations from Aarhus University and is an experienced leader from various positions in large corporations.
Nikolaj’s specialties revolve around corporate strategy and finance, and his exceptional analytical, financial and people skills are key to leading TP Aerospace forward.

Felix Ammann joined TP Aerospace in January 2023. Felix brings over 30 years of extensive aviation experience, and before joining TP Aerospace, he spent 27 years in various positions in SR Technics Switzerland. He has a strong track record of leading large operations focusing on all areas relating to providing customers with successful component services, including repair activities, planning, purchasing and supply chain management.
CCO, born 1967
Nicolai Hertz brings almost 30 years of experience from the aviation industry from both Satair, SAS Component Group and ST Aerospace. Most recently, he was with Satair for 15 years, latest in the role as Head of Used Service Material & Senior Vice President Business Development / Strategy.
He brings an extensive commercial experience and knowledge from the MRO aftermarket.

Flemming holds the position of CEO of DSB, the Danish Railways, but brings almost 30 years’ experience from aviation. He is a trained pilot from the Royal Danish Air Force and spent almost 10 years as a fighter pilot. He entered the commercial aviation industry in the 80’s, first with Sterling Airways and later SAS as Captain and Chief Pilot, respectively. Before joining DSB in 2015, Flemming had held the position of COO of SAS for several years.

Peter is Partner in the Danish private equity fund CataCap and has a strong operational background. He holds an Executive MBA from Cranfield School of Management and a Master’s in accounting from Copenhagen Business School. Throughout his career, he has gained extensive experience within private equity but has also gained insight into the aviation industry as CFO of FLS Aerospace/SR Technics UK.

Andrew is an aviation veteran having been in the industry for more than half his life. He’s particularly strong in the technical elements of aviation and holds a degree in mechanical engineering. Throughout his more than 30 years in the industry, Andrew has held various positions within Rolls-Royce, Cathay Pacific Airways/HAECO in Hong Kong and FLS Aerospace. Most recently, he comes from 14 years as Senior Vice President, Engineering of Emirates in Dubai.

Peter is co-founder of TP Aerospace, and he held the position as CEO from the company’s start in 2008 until end of 2021. He holds a B.Sc. in Economics and Business Administration from Copenhagen Business School, and has more than 25 years’ of experience from the aviation industry. Peter transitioned to a non-executive position in the Board of Directors in March 2022.

Since graduating from Copenhagen Business School with a master’s degree in Business Administration (M.B.A), Finance and Accounting, Nina has held several positions within finance, most recently at Nordea Markets as an Analyst within investment banking. In addition, Nina has gained experience from both Novo Nordisk, Eurowind Energy A/S and Nordea Retail Banking. Today, she holds the position as Investment Director at Kirk Kapital A/S where she has been employed since 2017.

Vilhelm is Partner in the Danish private equity fund CataCap and he is experienced in strategic and operational management from both the Danish and international business environment. He holds a degree in political science from Aarhus University and has several years’ experience from the aviation industry, first as CEO of FLS Aerospace and later as COO of easyJet.

Since obtaining a BSc. in Aeronautics and Astronautics from the University of Southampton, Mike has held a number of senior executive positions in aircraft MRO providers including CEO of FLS Aerospace, EVP of Component services at SR Technics and, most recently, President of Airinmar. Through more than 30 years’ experience from the commercial aviation aftermarket, Mike has obtained strong skills in strategy and business development.
